Payment Terms

Payment terms are established in your individual service agreement with Paymetrics. Late payments may be subject to additional fees as outlined in your agreement. We reserve the right to suspend services for non-payment.

Intellectual Property

All content, features, and functionality of the Paymetrics website and services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and data compilations, are the exclusive property of Paymetrics and are protected by United States and international intellectual property laws.

Disclaimer of Warranties

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Paymetrics does not warrant that our services will be uninterrupted, secure, or error-free. We do not guarantee specific results, approval rates, or cost savings from using our services.

Limitation of Liability

IN NO EVENT SHALL PAYMETRICS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) our services.

Our total liability to you for all claims arising from or related to these terms or our services shall not exceed the total amount of fees paid by you to Paymetrics in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Paymetrics and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of our services or violation of these terms.

Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use our services will cease immediately.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
